These Terms of Service (“Terms”) govern your use of the Mariana Lab LLC (“Mariana Lab,” “we,” “us,” or “our”) website, forms, communications, CRM-related services, and other services we provide.
By using our website, submitting a form, scheduling an appointment, communicating with us, or purchasing our services, you agree to these Terms.
1. Services
Mariana Lab provides CRM implementation, configuration, automation, training, support, maintenance, and related business technology services.
The specific services, deliverables, timelines, fees, and ongoing services applicable to a client may be further described in a proposal, service agreement, order form, invoice, or other written agreement.
2. Client Responsibilities
Clients are responsible for providing accurate and timely information, access credentials, approvals, business materials, and third-party accounts necessary for Mariana Lab to perform the agreed services.
Clients are responsible for maintaining access to and compliance with their own third-party platforms, including social media accounts, payment processors, calendars, communication platforms, and other external services.
Delays in providing required information or access may affect implementation or delivery timelines.
3. Third-Party Platforms and Services
Our services may use or integrate with third-party platforms such as CRM systems, communication providers, payment processors, calendar providers, social media platforms, automation tools, and other technology services.
Mariana Lab does not control these third-party services and is not responsible for outages, policy changes, account restrictions, pricing changes, service interruptions, or other actions taken by independent third parties.
Third-party fees, usage charges, subscriptions, messaging costs, payment processing fees, and similar charges may apply separately unless expressly stated otherwise in writing.
4. SMS and Communications
If you provide your mobile phone number and consent to receive text messages, Mariana Lab LLC may send you messages related to your inquiry, appointments, estimates, services, project updates, customer service, and other communications you have requested.
If you separately consent to receive marketing communications, we may also send promotional messages, special offers, and service updates.
Message frequency varies. Message and data rates may apply.
Reply STOP at any time to opt out of SMS communications or HELP for assistance.
Consent to receive marketing text messages is not a condition of purchasing any goods or services.
5. Payments and Fees
Fees for Mariana Lab services will be communicated before purchase or included in the applicable proposal, agreement, invoice, or order.
Unless otherwise stated in writing, clients are responsible for applicable third-party costs and usage-based charges associated with services or platforms used in connection with their CRM.
Payment processing services may be provided by independent third-party payment processors and may be subject to their own terms and policies.
6. Cancellations and Refunds
Cancellation terms, minimum service commitments, notice requirements, and refund conditions may vary depending on the service purchased and will be stated in the applicable service agreement, proposal, order, or other written agreement.
Unless otherwise required by applicable law or expressly agreed in writing, fees for work already performed or service periods already started are not refundable.
7. CRM Configuration and Client Changes
Mariana Lab configures systems based on the agreed scope of work and the information provided by the client.
Changes made by the client, its employees, contractors, other agencies, or third parties after implementation may affect the operation of workflows, automations, integrations, pipelines, calendars, forms, or other system components.
Mariana Lab is not responsible for problems caused by unauthorized or third-party modifications. Additional work required to diagnose or repair such modifications may be subject to additional fees.
8. Training and Adoption
Mariana Lab may provide training, educational materials, support resources, and guidance intended to help clients and their teams use their CRM effectively.
The client remains responsible for its team's participation, internal processes, daily system usage, data entry, lead management, sales activities, and operational decisions.
Mariana Lab does not guarantee specific sales, revenue, conversion rates, business results, or adoption outcomes.
9. Intellectual Property
Unless otherwise agreed in writing, clients retain ownership of their business information, customer data, branding, and materials they provide to Mariana Lab.
Upon fulfillment of applicable payment obligations, clients may retain the CRM configuration and client-specific materials implemented for their account, subject to the capabilities and terms of the applicable technology platforms.
Mariana Lab retains ownership of its proprietary methodologies, master snapshots, reusable templates, internal processes, training systems, documentation, frameworks, libraries, guides, and other intellectual property developed independently of a specific client engagement.
10. Account Transfer and Exit
Where technically supported by the applicable platform, a client who has fulfilled applicable payment obligations may request the transfer of its CRM subaccount to another eligible provider or agency.
Transfers remain subject to the technical capabilities, requirements, and policies of the applicable platform.
Additional migration, cleanup, reconfiguration, or manual technical work requested as part of an exit or transfer may be subject to additional fees.
11. Acceptable Use
You agree not to use our website or services for unlawful, fraudulent, abusive, deceptive, or unauthorized purposes.
Clients are responsible for ensuring that their own communications, marketing activities, customer data practices, and use of the CRM comply with applicable laws, regulations, platform requirements, and consent obligations.
12. No Professional Legal, Tax, or Financial Advice
Mariana Lab provides CRM, automation, implementation, training, and related business technology services.
Unless expressly agreed otherwise, our services do not constitute legal, tax, accounting, or financial advice.
Templates, examples, workflows, and operational materials provided through our services are intended for business and operational use and should be reviewed by the client's appropriate professional advisors when necessary.
13. Disclaimer of Warranties
We aim to provide reliable and professional services; however, technology systems and third-party platforms may experience interruptions, errors, changes, or limitations.
Except as required by applicable law or expressly stated in a written agreement, services are provided without warranties of specific business, financial, sales, marketing, or operational results.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Mariana Lab LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services, including losses resulting from third-party platforms, service interruptions, client actions, or unauthorized system modifications.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
15. Privacy
Your use of our website and services is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.
16. Changes to These Terms
We may update these Terms periodically to reflect changes in our services, business practices, or legal requirements.
